1. Acceptance of Terms

By accessing or using Tandum's Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. We may modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Services after any such modifications constitutes your acceptance of the new Terms.

2. Description of Service

Tandum provides a cloud-based business management platform designed for service-based businesses. Our Services include but are not limited to:

• Customer relationship management (CRM)
• Invoice and payment processing
• Team and staff management
• Reporting and analytics
• API access for integrations

3. Account Registration

To use our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept all responsibility for activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You may not use another person's account without permission. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Payment

4.1 Subscription Plans

Tandum offers various subscription plans with different features and pricing. You can view our current plans on our pricing page. We reserve the right to modify our pricing and plans at any time, with notice to existing subscribers.

4.2 Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan. You authorize us to charge your payment method on a recurring basis. If payment fails, we may suspend your access to the Services until payment is received.

4.3 Free Trial

We may offer a free trial period for new users. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. No credit card is required for the free trial.

4.4 Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of your current billing period. We do not provide refunds for partial months or unused portions of your subscription, except as required by law or at our sole discretion.

5. Acceptable Use

You agree not to use the Services to:

• Violate any laws, regulations, or third-party rights
• Upload or transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Services or servers

6. Data and Privacy

You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission. You may not reverse engineer or attempt to extract the source code of our software.

8. Third-Party Services

Our Services may integrate with third-party services (such as payment processors, calendar systems, or communication tools). Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the actions or policies of third-party services.

9. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. You use the Services at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TANDUM LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for any claims arising out of or related to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Tandum LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another party.

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by contacting us or using the account cancellation feature in the Services. Upon termination, we will provide you with the ability to export your data for a reasonable period of time.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in court for violations of intellectual property rights.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Services. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tandum LLC regarding the Services.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

15.4 Assignment
